On-demand commercial and government contracts support

A senior contracts lead, when you need one.

Subcontract, Article 14

14.2 Limitation of Liability Subcontractor shall indemnify Buyer against any and all third-party claims arising from the Work Subcontractor's negligent performance of the Work. Except for breaches of Article 9 (Export Compliance), neither party's aggregate liability shall exceed the total value of this Purchase Order. Buyer may withhold payment at its sole discretion pending resolution.

Issue flagged: uncapped indemnity and open-ended payment withholding. Proposed cap at PO value, with an export-compliance carve-out the prime will accept.

§ 2 How it works

From inbox to signature-ready, with a fixed scope up front.

  1. Send the document

Upload the draft, the counterparty's paper, or a description of the deal. An NDA covers everything you send.

  2. Get a scoped quote

Within one business day you receive a fixed fee or hour estimate, the turnaround date, and what is in and out of scope.

  3. Receive the redline

A tracked-changes draft plus an issues memo ranking each point as must-have, negotiable, or acceptable as written.

  4. Close the deal

Optional call support while you negotiate, and a final clean version checked against the agreed positions.

§ 3 Pricing

Three ways to engage. No long-term commitment.

Rates are quoted before work starts. Rush turnaround inside 24 hours adds 50 percent.

§ 4 About

Tim Nalepka, Principal

I have spent more than fifteen years on the contracts side of defense, aerospace, energy, and commercial businesses, negotiating with primes, government customers, international buyers, and channel partners.

That work has included building commercial contracts functions from scratch, leading contract lifecycle management transformations, standing up indirect sales channels, and writing GDPR and CCPA compliance procedures for a global manufacturer.

Four Corners Contracts Advisory exists for the company that needs that experience on a specific deal this week, without hiring a full-time contracts manager to get it.

The name comes from the four corners rule: when a dispute arises, what governs is what is written inside the document. Getting that writing right before signature is the whole job.

§ 5 Questions

Before you send anything

Are you a law firm?

No. Four Corners Contracts Advisory provides contracts management and negotiation support, the work an in-house contracts manager does. It does not provide legal advice or legal opinions. If an issue calls for an attorney, I will say so and help you brief one efficiently.

How is my information protected?

A mutual NDA is signed before any document changes hands. Files are stored in an encrypted workspace and deleted at the end of the engagement on request.

Can you work with export-controlled technical data?

Contract terms about export control, yes. Controlled technical data itself should stay out of the documents you send. If a contract attaches technical data, send the contract body and we will agree on a handling approach first.

What if the deal needs more time than quoted?

You hear about it before any extra hour is billed, with the reason and a revised estimate. Fixed-fee reviews stay fixed.

Do you negotiate directly with the other side?

Yes, on the Advisory Block and Fractional plans, either on calls alongside your team or as your designated contracts contact.

§ 6 Start an engagement

Tell me about the contract.

A scoped quote comes back within one business day. Do not attach the document yet; the NDA comes first.
